TERMS AND CONDITIONS

Welcome to Studio Tenke. These Terms and Conditions ("Terms") govern your purchases, access to, and use of the Studio Tenke website (www.studio-tenke.com) and all custom lighting products ordered by customers located in the United States.

By placing an order or using our website, you agree to be bound by these Terms. Please read them carefully before submitting your order.

1. SELLER INFORMATION & GOVERNING LAW

  • Governing Law: These Terms and any separate agreement under which Studio Tenke supplies products to you shall be governed by and construed in accordance with the laws of the Czech Republic, without regard to its conflict-of-law principles. Nothing in these Terms is intended to exclude, waive, restrict, or limit any rights, remedies, warranties, or liabilities that cannot lawfully be excluded, waived, restricted, or limited under applicable law. Where mandatory consumer protection, product liability, warranty, or other applicable laws apply notwithstanding the choice of Czech law, those mandatory provisions will continue to apply to the extent required by law.

2. ORDERS AND ACCEPTANCE

  • Pricing and Currency: Prices displayed on the Website are stated in U.S. dollars (USD). Unless expressly stated otherwise, prices do not include applicable U.S. sales or use taxes, which will be calculated and collected at checkout where required by applicable law.

  • Order Acceptance: Submitting an order constitutes an offer to purchase the selected products. An order is not accepted until Studio Tenke confirms acceptance of the order. Studio Tenke reserves the right to decline or cancel an order before production begins where reasonably necessary, including in cases of product unavailability, an obvious pricing or specification error, inability to fulfil the order, or other circumstances requiring cancellation. If Studio Tenke cancels an order for which payment has already been received, the amount paid for the cancelled order will be refunded.

  • Production Lead Time: Estimated production and preparation times are provided in good faith and are estimates only. Unless expressly agreed otherwise in writing, an estimated production time does not constitute a guaranteed delivery date.

3. INTERNATIONAL SHIPPING & DAP (DELIVERED AT PLACE)

  • Shipping: Studio Tenke ships orders to the United States using international carriers such as FedEx, UPS, DHL, or comparable carriers.

  • DAP Terms: Orders shipped to the United States are shipped on a Delivered at Place (DAP) basis unless otherwise stated at checkout or agreed in writing. The purchase price does not include U.S. customs duties, import taxes, customs clearance charges, brokerage fees, or other charges imposed by customs authorities, carriers, brokers, or other governmental or third-party authorities in connection with importation. Such charges are the customer's responsibility and may be collected by the carrier, customs broker, or other applicable party before or upon delivery. Studio Tenke is not responsible for customs duties, import taxes, brokerage charges, customs clearance delays, or other charges imposed after shipment, except where applicable law provides otherwise.

  • Customs and Delivery Delays: The customer is responsible for providing information reasonably required for customs clearance and delivery. Customs procedures, governmental requirements, carrier delays, and other import-related delays may be outside Studio Tenke's reasonable control and may extend the estimated delivery time.

  • Refused or Abandoned Shipments: If a customer refuses delivery or fails to provide information required for customs clearance and the shipment is returned, abandoned, destroyed, or otherwise incurs additional costs, Studio Tenke may deduct from any applicable refund reasonable costs actually incurred in connection with the shipment, including return shipping, customs charges, duties, taxes, storage, disposal, and other non-recoverable costs, to the extent permitted by applicable law.

4. CUSTOM AND BESPOKE PRODUCTS

  • Custom or Bespoke Products: A "Custom Product" or "Bespoke Product" means a product manufactured or materially configured according to the customer's individual specifications. This may include, without limitation: custom dimensions, custom finishes, custom configurations, custom materials, individualized mounting arrangements, customer-specific quantities, or other individualized specifications approved by the customer.

  • Cancellation and Returns: Because Custom Products are made specifically for the customer, they are generally not eligible for cancellation, return, exchange, or refund solely because of: a change of mind, personal preference, a subsequent design preference, a change in the customer's project, customer-supplied incorrect dimensions, measurements, specifications, or other information, or failure to properly review or approve the specifications before production. Once production of a Custom Product has commenced, the order generally cannot be cancelled for these reasons.

  • Non-Excludable Rights: Nothing in this section excludes or limits any cancellation, return, refund, warranty, consumer, or other rights that cannot lawfully be excluded or limited under applicable law.

5. TRANSIT DAMAGE, LOSS, AND QUALITY ISSUES

  • Inspection and Transit Damage: Customers should inspect their shipment as soon as reasonably practicable after delivery. If visible shipping damage is discovered, customers should notify Studio Tenke as soon as reasonably practicable, preferably within 48 hours of delivery, and provide photographs of: the outer packaging, any visible damage to the packaging, the product, relevant labels or shipping information, and any other information reasonably requested by Studio Tenke. The purpose of an early notification is to assist with carrier claims and facilitate a prompt resolution. Failure to report visible damage within 48 hours does not waive any rights or remedies that cannot lawfully be waived or limited. Where appropriate, Studio Tenke may provide replacement components, repair, replacement of the product, or another appropriate remedy.

  • Loss in Transit: If a shipment is officially confirmed as lost by the carrier after the carrier has completed its applicable tracing or claims process, Studio Tenke will provide either a replacement of the affected product or a refund of the amount paid for the affected product, subject to applicable law.

  • Manufacturing Defects: If a product is affected by a verified manufacturing defect, Studio Tenke will provide the remedy available under the applicable Limited Warranty and applicable law.

6. PROFESSIONAL INSTALLATION & ELECTRICAL SAFETY

  • Qualified Electrician: Studio Tenke products must be installed by a qualified and appropriately licensed electrician where required by applicable federal, state, or local law. Installation must be performed in accordance with: applicable electrical codes, the National Electrical Code (NEC) where applicable, applicable state and local electrical requirements, applicable building requirements, the product's installation instructions, and the requirements of the installation location.

  • Installer Responsibility: The installer is responsible for confirming the suitability and condition of: the electrical supply, voltage and frequency, junction box, wiring, grounding, mounting method, electrical connections, structural support, and installation location. The installer must determine whether the particular product is suitable for the intended installation environment.

  • Installation-Related Damage: To the extent permitted by applicable law, Studio Tenke is not responsible for damage caused solely by improper installation, improper electrical connection, unauthorized modification, failure to follow installation instructions, or failure to comply with applicable electrical or building requirements. Nothing in this section excludes or limits liability that cannot lawfully be excluded or limited.

  • Product Certifications and Listings: Where a specific product certification, listing, approval, or other compliance information applies to a product, the applicable information will be identified in the relevant product documentation or product page. Customers and installers should verify that the specific product is suitable and permitted for the intended installation before installation.

7. STRUCTURAL INTEGRITY AND CEILING MOUNTING

  • Structural Conditions: The customer and/or installer is responsible for confirming that the ceiling, wall, junction box, suspension point, anchors, and other supporting structures are suitable for the weight and configuration of the fixture.

  • Mounting Hardware: Mounting hardware and anchoring methods must be selected according to the actual substrate, structural conditions, product weight, and installation requirements. Mounting hardware must be installed by a qualified professional in accordance with applicable building and electrical requirements.

  • Installation-Related Structural Damage: To the extent permitted by applicable law, Studio Tenke is not responsible for damage resulting solely from: inadequate structural support, unsuitable anchors or mounting hardware, improper mounting, improper installation, unauthorized modification, or failure to follow applicable installation instructions or local requirements. Nothing in this section excludes or limits any liability that cannot lawfully be excluded or limited.

8. HANDMADE GLASS & MATERIALS

  • Natural Characteristics: Studio Tenke products may incorporate handmade glass and other natural or individually crafted materials. Minor imperfections, air bubbles, variations in dimensions, shape, texture, surface, transparency, or color may occur as a natural characteristic of handmade production. Such characteristics do not constitute a defect where they do not materially affect the product's structural integrity, safety, functionality, or reasonably expected appearance.

  • Glass Breakage: To the extent permitted by applicable law, Studio Tenke is not responsible for glass breakage caused by: thermal shock, rapid temperature fluctuations, improper handling, impact, misuse, improper installation, unauthorized modification, or environmental conditions outside the product's intended use. This exclusion does not apply where the glass failure constitutes a verified manufacturing defect covered by the applicable Limited Warranty or where applicable law provides otherwise. If a glass component is damaged due to handling, installation, accident, thermal shock, or another condition not covered by the Limited Warranty, customers may contact Studio Tenke at hello@studio-tenke.com regarding the availability of a replacement component.

9  2-YEAR LIMITED WARRANTY & LIMITATION OF LIABILITY

9.1 LIMITED WARRANTY

Studio Tenke, with its registered office at U Smíchovského hřbitova 1387/11, 150 00 Prague 5, Czech Republic, provides the original purchaser with the following LIMITED WARRANTY for a period of two (2) years / twenty-four (24) months from the date of delivery of the applicable product.

This Limited Warranty applies to Studio Tenke lighting fixtures and components supplied by Studio Tenke as part of the applicable product and purchased directly from Studio Tenke, unless otherwise required by applicable law.

This Limited Warranty covers defects in materials or workmanship that existed at the time of delivery or arise during the applicable warranty period, subject to the exclusions and conditions stated below and subject to applicable law.

9.2 WHAT THIS LIMITED WARRANTY COVERS

If Studio Tenke determines that a product or component is affected by a defect in materials or workmanship covered by this Limited Warranty, Studio Tenke will, subject to applicable law:

  • repair the affected product or component;

  • replace the affected product or component; or

  • provide another remedy required by applicable law.

Studio Tenke will determine the appropriate remedy where permitted by applicable law. Replacement products or components may be new or functionally equivalent products or components, to the extent permitted by applicable law.

For an accepted warranty claim, Studio Tenke will provide the applicable repair or replacement remedy without charge for the repair or replacement itself. Unless applicable law requires otherwise, the customer remains responsible for costs of removal, reinstallation, electrical work, construction, structural work, or other third-party services associated with the product.

9.3 HOW TO MAKE A WARRANTY CLAIM

The customer should provide:

  • the order number or other reasonable proof of purchase;

  • a description of the claimed defect;

  • photographs or videos where reasonably available;

  • information regarding the installation and use of the product; and

  • any other information reasonably necessary for Studio Tenke to assess the claim.

Studio Tenke may request reasonable additional information or inspection of the product before determining whether a claimed defect is covered by this Limited Warranty.

Customers should not return a product unless Studio Tenke has provided return instructions or otherwise agreed to the return in writing.

9.4 WARRANTY EXCLUSIONS

To the extent permitted by applicable law, this Limited Warranty does not cover damage, defects, or failure resulting solely from:

  • improper installation;

  • improper mounting or inadequate structural support;

  • improper electrical connection;

  • misuse or abuse;

  • accident, impact, or other physical damage;

  • unauthorized modification or repair;

  • failure to follow installation, operating, or care instructions;

  • normal wear and tear;

  • thermal shock or rapid temperature fluctuations;

  • environmental conditions outside the intended use of the product;

  • customer-supplied incorrect dimensions, measurements, specifications, or other information;

  • damage occurring after delivery that is not attributable to a manufacturing defect; or

  • use of the product contrary to its intended purpose.

Handmade glass and other individually crafted materials may contain minor variations, imperfections, air bubbles, or differences in shape, texture, surface, transparency, or color that are inherent to handmade production. Such characteristics are not defects covered by this Limited Warranty where they do not materially affect the product's structural integrity, safety, functionality, or reasonably expected appearance.

This Limited Warranty does not exclude coverage where applicable law requires coverage notwithstanding any of the exclusions above.

9.5 IMPLIED WARRANTIES

Nothing in this Limited Warranty or these Terms is intended to disclaim, exclude, waive, restrict, or limit any implied warranty or other consumer protection that cannot lawfully be disclaimed, excluded, waived, restricted, or limited.

Except as expressly provided in this Limited Warranty, Studio Tenke makes no additional express warranties except as required by applicable law.

9.6 NON-EXCLUDABLE RIGHTS

This Limited Warranty gives you specific legal rights. You may also have other rights that vary depending on the state or jurisdiction in which you reside.

Nothing in this Limited Warranty or these Terms excludes, restricts, or limits any warranty, right, remedy, or liability that cannot lawfully be excluded, restricted, or limited.

9.7 LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Studio Tenke shall not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising out of or relating to the purchase, installation, possession, or use of the products, including loss of profits, revenue, business opportunities, data, or use.

Some States do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you.

Nothing in this section excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

9.8 PRODUCT LIABILITY AND NON-EXCLUDABLE LIABILITY

Nothing in these Terms or this Limited Warranty is intended to exclude or limit liability for defective products, personal injury, death, property damage, fraud, or other liability to the extent such liability cannot lawfully be excluded or limited.

10. INTELLECTUAL PROPERTY

All content appearing on the Website, including trademarks, logos, product designs, photographs, architectural renders, drawings, technical drawings, text, graphics, and other materials, is owned by or licensed to Studio Tenke unless otherwise indicated. No Website content, product design, drawing, photograph, rendering, or lighting design may be copied, reproduced, distributed, modified, or used commercially without prior written permission from Studio Tenke, except where permitted by applicable law.

11. FORCE MAJEURE

Studio Tenke shall not be responsible for failure or delay in performance caused by circumstances beyond its reasonable control, including, where applicable: natural disasters, severe weather events, war or armed conflict, strikes or labor disruptions, extraordinary supply chain disruptions, extraordinary carrier disruptions, customs or governmental delays, governmental restrictions, infrastructure failures, or other events that could not reasonably have been prevented or overcome. This section does not exclude or limit any consumer rights or liabilities that cannot lawfully be excluded or limited.

12. DISPUTE RESOLUTION

If you have a complaint or dispute concerning an order or product, please first contact Studio Tenke at hello@studio-tenke.com. The parties will make reasonable efforts to resolve the matter informally. If the matter cannot be resolved informally, any dispute arising out of or relating to these Terms or the purchase or use of Studio Tenke products shall be subject to the jurisdiction of the competent courts of the Czech Republic, except to the extent applicable law gives the customer the right to bring a claim in another jurisdiction or otherwise requires a different forum. Nothing in this section prevents a consumer from exercising any mandatory right to bring a claim in a court or jurisdiction where such right cannot lawfully be waived.

13. MANDATORY CONSUMER RIGHTS

Nothing in these Terms is intended to exclude, waive, restrict, or limit any rights or remedies available to a consumer under applicable law that cannot lawfully be excluded, waived, restricted, or limited by contract. Where applicable law provides a consumer with rights, warranties, remedies, or protections that differ from these Terms, those mandatory rights, warranties, remedies, and protections will apply to the extent required by law.
